1. Who We Are
OVIO operates a service marketplace and coordination platform. OVIO provides technology for discovery, booking, communication, account management, business tools, and payment flows where enabled.
Independent businesses list and provide the services available through OVIO. Unless a page says otherwise, the business shown on the listing is responsible for the service information, availability, service delivery, required licenses, professional obligations, taxes it owes, and the service policy shown to the customer before booking.

2. Documents That Apply
These Terms apply when you access or use OVIO. Depending on how you use OVIO, the following documents also apply:
- Marketplace Terms, for service transactions between customers and businesses.
- Business Terms, for businesses and their staff.
- Booking & Cancellation Policy, for bookings, deposits, cancellations, no-shows, refunds, and support.
- Acceptable Use & Marketplace Rules, for content, services, messages, reviews, safety, reports, and moderation.
- Privacy Policy and Cookie Policy, for personal data, cookies, and similar technologies.
- Data Processing Addendum, where a business uses OVIO to process personal data for which the business is controller and OVIO acts as processor.
If there is a conflict, the document most specific to the situation controls, unless mandatory law requires a different result.
3. Eligibility
You must be legally able to enter into these Terms. If you use OVIO for a business, you confirm that you are authorized to bind that business.
OVIO is not intended for children under [AGE]. Do not use OVIO if you are below the age required in your country to create an account or make bookings without a parent or guardian.
4. Accounts
You must provide accurate account information and keep it updated. You are responsible for activity under your account unless the activity results from OVIO's failure to use reasonable security measures required by law.
You must keep sign-in credentials confidential and tell OVIO promptly if you believe your account has been accessed without permission.
OVIO may require additional checks before enabling business publication, paid marketplace bookings, or regulated service categories.
5. Customers
Customers may discover businesses, review listings, request or confirm bookings, join queues, place orders where enabled, send messages, receive reminders, and pay through Stripe-backed flows where enabled.
Before confirming a booking or payment, you are responsible for reviewing the business, service, time, location or service area, price, taxes and fees where shown, deposit or payment obligation, service notes, cancellation policy, and any other terms shown for that service.
6. Businesses
Businesses are responsible for their listings, public seller information, service policies, staff permissions, customer communications, taxes, licenses, insurance, and service delivery. Businesses must follow the Business Terms and the Acceptable Use & Marketplace Rules.
Publishing a business page or listing does not create an employment, partnership, franchise, agency, or joint-venture relationship between OVIO and the business.
7. Marketplace Role
OVIO may help coordinate booking support, payment processing, refunds, moderation, safety reports, and marketplace policy enforcement. This does not make OVIO the provider of the underlying service unless OVIO expressly states that it provides a specific service itself.
Businesses remain responsible for performing their services and honoring the policies shown to customers, subject to mandatory rights that apply.
8. Bookings, Orders, Queues, and Events
OVIO supports service workflows that may include appointments, reservations, orders, queues, events, deposits, approvals, reminders, calendar information, and receipts.
A booking may be confirmed immediately, may require business approval, or may require payment or deposit before it is held. The confirmation page or email should explain the status of the booking.
The business may need to reschedule or cancel a service for operational, weather, safety, staff, or legal reasons. If that happens, the business or OVIO may provide available support options, subject to the policy shown at booking and any mandatory rights that apply.
9. Prices, Payments, Taxes, and Fees
Prices, mandatory fees, taxes where applicable, deposits, and payment obligations must be shown before payment confirmation where the flow supports payment.
Payments are processed through Stripe where enabled. OVIO does not store full card numbers. Stripe and other payment providers may process payment data under their own terms and privacy notices.

OVIO may charge businesses subscription fees, marketplace fees, payment-related fees, or other fees shown before the business accepts them. Businesses remain responsible for taxes they owe unless OVIO is legally responsible for a specific tax under the final payment model.
10. Cancellations, Refunds, and No-Shows
Cancellations and refunds are handled under the policy shown for the service at checkout and any mandatory consumer rights that apply. OVIO may assist with marketplace support and payment processing.
Do not rely on general site copy as a substitute for the policy shown for the specific service, order, event, or business subscription.
11. Communications
OVIO may send transactional messages about your account, bookings, orders, queues, events, payments, security, support, and policy updates.
Marketing messages require consent or another lawful basis where applicable. Marketing emails must include an unsubscribe method. Transactional messages must not be used to hide marketing content.
Users and businesses must not use OVIO messaging for spam, harassment, unlawful offers, deceptive claims, or communications unrelated to a legitimate OVIO transaction or customer relationship.
12. Content
Users and businesses may submit listings, profiles, photos, descriptions, messages, reviews, service policies, replies, and other content.
You are responsible for content you submit. You confirm that you have the rights needed to submit it and that it does not violate law, third-party rights, or OVIO's rules.
You give OVIO a non-exclusive, worldwide, royalty-free license to host, copy, display, transmit, translate, format, and use your content as needed to operate, protect, improve, and promote OVIO and the marketplace. This license ends when the content is deleted from OVIO, except where continued use is needed for legal, safety, backup, audit, dispute, or legitimate operational purposes.
13. Prohibited Conduct
You must follow the Acceptable Use & Marketplace Rules. You must not:
- Use OVIO for unlawful, misleading, unsafe, abusive, or fraudulent activity.
- Interfere with OVIO's systems, security, or availability.
- Scrape, copy, or access OVIO through unauthorized automated means.
- Circumvent account, payment, moderation, or access controls.
- Misrepresent identity, authority, qualifications, licenses, prices, reviews, availability, or service terms.
- Upload malware or content that infringes intellectual property, privacy, or other rights.
14. Reports, Moderation, and Appeals
OVIO may review, restrict, remove, or demote content, listings, services, messages, reviews, accounts, or business pages that may violate these Terms, OVIO's rules, or applicable law.
You can report a business, service, message, review, or other content if you believe it is illegal, misleading, unsafe, or violates OVIO's rules. Where OVIO takes moderation action or declines to act on a report, OVIO may provide a reason and a review route where required.
15. Availability and Changes
OVIO may change, suspend, or discontinue features. Some features may be beta, limited by country, limited by business category, or available only where a business has completed required setup.
OVIO aims to provide a reliable service but does not promise that OVIO will be available without interruption or error.
16. Third-Party Services
OVIO uses third-party services such as payment processors, hosting providers, database providers, email providers, analytics providers where enabled, mapping providers where enabled, and business tools. Third-party services may have their own terms and privacy notices.
17. Suspension and Termination
OVIO may suspend or restrict access if we reasonably believe an account, business, listing, transaction, or content may violate these Terms, OVIO's rules, payment obligations, or law, or may create risk for users, businesses, OVIO, Stripe, or other partners.
When possible and appropriate, OVIO may provide notice and an opportunity to resolve the issue. Immediate action may be taken for urgent safety, fraud, security, legal, payment, or platform integrity reasons.
You may stop using OVIO at any time. Account closure and deletion requests are handled under the Privacy Policy and applicable retention obligations.
18. Consumer Rights
Nothing in these Terms limits mandatory rights that cannot be limited by contract. If you are a consumer, you may have additional rights under the laws of your country or state.
19. Disclaimers
To the extent permitted by law, OVIO provides the platform "as is" and "as available." OVIO does not guarantee that a business will perform a service, that a listing is complete or error-free, or that a service will meet your expectations.
This section does not limit liability that cannot be limited by law.
20. Liability

The final version must not exclude or limit liability where prohibited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, willful misconduct, gross negligence, or mandatory consumer rights where such exclusions are not allowed.
21. Indemnity for Business Users
If you use OVIO for a business, you are responsible for claims, losses, liabilities, damages, penalties, and costs arising from your listings, services, taxes, licenses, staff, customer communications, unlawful content, breach of these Terms, or misuse of OVIO, except to the extent caused by OVIO's breach of these Terms or applicable law.

22. Changes to These Terms
OVIO may update these Terms. If changes are material, OVIO will take reasonable steps to notify users or businesses before or when the changes take effect, unless urgent legal, security, or operational reasons require faster changes.
Your continued use of OVIO after updated Terms take effect means you accept the updated Terms, except where law requires a different acceptance process.
